Terms and Conditions governing the Early Access Rebate Program
The terms and conditions (“Terms and Conditions”) of this Early Access Rebate Program (“Program”) are set out below. By participating in this Program, you confirm that you agree to comply with them.
1. Definitions and Interpretation
In these Terms and Conditions, the following words and expressions shall have the following meanings:
- “Aggregate Payment Amount” means the total Transaction Value arising from Eligible Transactions.
- “Antom” refers to AIMY Merchant Services Sdn. Bhd.
- “Antom Merchant Services” means Antom’s provision of services for electronic payment processing for transactions, reconciliation and settlement of transactions with the Merchant and such other services that Antom may make available to the Merchant, as agreed between parties from time to time.
- “Eligible Transactions” means Transactions using the following payment channels: local Visa and MasterCard card transactions (including debit/credit/prepaid cards). Transactions using foreign cards are excluded and are not considered as Eligible Transactions. For the avoidance of doubt, Eligible Transactions include Transactions which are subject to refunds or chargebacks.
- “EPOS” refers to EPOS Global Solutions Sdn. Bhd.
- “Minimum Payout Threshold Amount” has the meaning given to it in Clause 3.3.
- “Transaction” means the sale and purchase transaction of goods and/or services by a user from the Merchant, the payment (including online and in-store/offline payment) for which is effected using the Antom Merchant Services.
- “Transaction Value” means in relation to a Transaction, the value of such Transaction including the purchase price, sales tax and other charges associated with the purchase.
- “Rebate” has the meaning given to it in Clause 3.1.
- “Rebate Period” has the meaning given to it in Clause 3.1.
- “Rebate Year” means the period from 1 January to 31 December of each calendar year during the Rebate Period.
- “Rebate Year Cutoff Date” has the meaning given to it in Clause 3.2.
2. Eligibility
To be eligible for this Program, a merchant must satisfy all of the following conditions:
- The merchant is an existing EPOS customer which has purchased one or more Antom Credit Card Terminal from EPOS (“Merchant”);
- The Merchant has entered into a valid and effective agreement with AIMY Merchant Services Sdn. Bhd. to receive Antom Merchant Services, which is fully executed by both Antom and the Merchant between 22 September 2025 to 31 December 2025; and
- During the Rebate Period and up until such time when the final Rebate is paid to the Merchant, the Antom Merchant Services must not be suspended, canceled, and/or terminated (whether in whole or in part) by Antom for any reason, including, without limitation, Merchant’s non-compliance with applicable laws or scheme requirements, provision of prohibited and restricted goods or services or heightened anti-money launder, sanctions or fraud related risks.
3. Rebate
- From 22 September 2025 to 31 December 2027 (the “Rebate Period”), the Merchant will earn a rebate of 0.26% of the Transaction Value (“Rebate”) for Eligible Transactions processed, up to a maximum Aggregate Payment Amount of RM500,000.
- Rebates shall be computed annually based on Antom’s records on 31 December of each Rebate Year (“Rebate Year Cutoff Date”).
- A Rebate shall only be paid to the Merchant if the calculated Rebate amount at the Rebate Year Cutoff Date meets or exceeds RM50 (“Minimum Payout Threshold Amount”). If the calculated Rebate amount at the Rebate Year Cutoff Date is below the Minimum Payout Threshold Amount, no payment shall be made and the accrued Rebate shall be carried forward to subsequent Rebate Years, up to the expiry of the Rebate Program. For the avoidance of doubt, in the event that the total cumulative Rebate amount remains below the Minimum Payout Threshold Amount upon the expiry of the Rebate Program, no Rebate will be paid to the Merchant and the Rebate amount shall be forfeited.
- The payment of the Rebate amount for each Rebate Year shall be made in RM by bank transfer to Merchant’s designated bank account or DuitNow transfer, and such transfer shall be initiated by EPOS within thirty (30) working days after each Rebate Year Cutoff Date.
- The total Rebate that a Merchant may earn under this Program shall not exceed RM1,300.
- The Rebate is not transferable or exchangeable for cash, credit, products, or privileges or other benefits or payments in kind, whether in full or in part, and is not refundable or replaceable.
4. Further Terms
- EPOS has the absolute right and unfettered discretion to make decisions on all matters relating to or in connection with the Program, including the determination of the eligibility of any Merchant to the Rebate and the calculation and calculation methodology of the Aggregate Payment Amount and Rebate amount. The decisions of EPOS on all matters relating to the Program shall be final, conclusive and binding.
- EPOS may in its absolute discretion amend, supplement or vary any of these Terms and Conditions or change, cancel or withdraw this Program at any time without giving any reason or prior notice.
- Each Merchant warrants that:
- it is legally able to participate in the Program according to the laws and regulations applicable to it;
- all information disclosed by the Merchant to EPOS and Antom is complete, true and accurate;
- the Merchant will not use the Program in any way that EPOS (in its sole and absolute discretion) considers to be unreasonable, unethical, excessive, or in bad faith; or in any way that breaches any applicable local, national, or international law or regulation, or that is in any way unlawful, fraudulent, or wrongful, or has any unlawful, fraudulent, or wrongful purpose or effect.
- EPOS and Antom will not be responsible or held liable for any loss to or expenses the Merchant or any person incur in connection with the Program, including any error in computation for a Merchant’s entitlement to the Rebate.
- Severability: Any clauses in these Terms and Conditions determined by any court or other competent authority to be unlawful and/or unenforceable will be treated as severed from these terms and conditions and will not invalidate other clauses of these terms and conditions which will continue in full effect.
- Third Party Rights: These Terms and Conditions are made for the benefit of participants of the Program, and are not intended to benefit any third party or be enforceable by any third party.
- Governing law and dispute resolution: These Terms and Conditions shall be governed by and construed in accordance with the laws of Singapore. Any dispute arising out of or in connection with these Terms and Conditions and/or the Program, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre in accordance with the Arbitration Rules of the Singapore International Arbitration Centre for the time being in force, which rules are deemed to be incorporated by reference in this clause. The seat of the arbitration shall be Singapore. The Tribunal shall consist of one arbitrator. The language of the arbitration shall be English.
